Steven Ross has thirty-five years’ experience representing banks and borrowers in connection with secured asset-based loan agreements, all types of domestic and international secured transactions, structured finance, project finance, swaps and foreign exchange transactions of all types, repurchase transactions and legal opinions.  He has represented banks and borrowers in the United States and internationally, especially Latin America.  Examples include asset-based loan agreements and security agreements entered into in connection with acquisitions and to provide working capital; project financings of wind energy facilities;   Diversified Payment Rights (“DPRs”) programs which monetize DPRs of banks in Latin America and Turkey;  secured export and pre-export financings of Brazilian producers of sugar, wood pulp and metals; ISDA 2002 Master Agreements, foreign exchange non-deliverable forwards, commodity swaps and forwards, interest rate swaps, total return swaps, credit default swaps and other types and combinations of swaps and derivatives; and repurchase and reverse repurchase agreements involving US Treasury securities or commodities. Steven has prepared account agreements, inter-creditor agreements, security agreements and legal opinions in connection with many international transactions which involve New York and foreign laws.  Steven has advised banks and borrowers in connection with the regulation of swaps, swap dealers and swap participants under the Commodity Exchange Act, as amended by Title VII of the Dodd-Frank Act, and provided extensive comments to the Commodity Futures Exchange Commission (the “CFTC”) on regulations under the Dodd-Frank Act in order to create exemptions from mandatory clearing and margin requirements.  Steven has written briefs and expert legal opinions in connection with litigation regarding security interests in bankruptcy (and to date has won every case).  Steven has represented banks in connection with art financings, cash management agreements, credit card servicing and other transactions involving security interests.
